Access to your business accounting file

Our main requirement is access to your Xero or MYOB Essentials (both cloud based) accounting files.  Whilst we are willing to assist businesses who are not using these products, the Bizee Insights membership relies on access to these files.  Bizee Management Solutions can assist businesses in transitioning to Xero as part of a separate engagement if required.

Membership does NOT include bookkeeping

Our monthly management reports rely on accurate bookkeeping, which is a basic requirement of our service.  Bizee will not be responsible for the accuracy of the data entered into the bookkeeping file.  We will not undertake any bookkeeping tasks, unless entered into a separate engagement through our parent business – Bizee Management Solutions.

Treatment of irregularities

A Bizee Insights membership cannot be relied upon to disclose irregularities including fraud, other illegal acts and errors that may exist. However, we will inform you of any such matters that come to our attention.  We will also take reasonable care in ascertaining your state of affairs, to the extent that ascertaining the state of those affairs is relevant to the provision of Services under the membership.

Period of engagement

The membership will start on acceptance of our terms and conditions and will continue in perpetuity, unless otherwise terminated in accordance with the terms and conditions.

Our obligation to comply with the law

We have a duty to act in your best interests. However, the duty to act in your best interests is subject to an overriding obligation to comply with the law, even if that may require us to act in a manner which may be contrary to your interests. For example, we could not provide reports to an external party for you if we knew to be false in a material respect.

We also have an obligation to ensure that we manage conflicts of interest as they arise. In this regard, we have arrangements in place to ensure that we manage potential or actual conflicts of interest. The effective operation of these arrangements depend, in part, on you complying with your obligation to disclose any potential conflicts of interest to us.

Our advice and/or Services will be based on relevant laws in force at the date of the provision of the advice and/or Services. It is your responsibility to seek updated advice if you intend to rely on our advice at a later stage. We note that the Australian laws are often subject to frequent change and our advice will not be updated unless specifically requested by you at the time of the change in law or announced change in law.

Ownership of documents

We care about your privacy.  Please refer to our Privacy Policy on how we will use your information. All original documents obtained from you arising from the engagement shall remain the property of you. However, we reserve the right to make a reasonable number of copies of the original documents for our records.  All other documents produced by us in respect of this engagement will remain the property of Bizee Management Solutions.

Payment Terms

Our terms are strictly via credit card or Paypal only.  Membership fees will be due and payable on the monthly anniversary of the membership commencement and will always be charged in arrears.  Should the membership be terminated by either party prior to its next renewal date, we will cease work and invoice you, and you will be liable, for our professional fees and expenses to that point in time.

Your obligations

You agree to provide us promptly with all information, instructions and access to third parties we reasonably require to perform the Services.

You agree that we are entitled to rely on the accuracy of the information that is provided to us without independently verifying it, except to the extent we have expressly agreed to do so as part of the Services we will perform.

You agree that the performance of the Services by us depends on you also performing your obligations under this agreement. You agree that we are not liable for any default that arises because you do not fulfil your obligations.

Fees and expenses

You agree to pay us for the Services we perform on the basis set out in our membership offering, including any GST that we are required to pay in connection with the Services.

You agree to pay fees and expenses via direct debit/credit card on a monthly basis. We reserve the right to perform no further work for you until all outstanding accounts are paid in full.


We agree not to disclose each other’s confidential information except for disclosures required by law.

You agree that we may act for your competitors or for other clients whose interests are or may be opposed to you, subject to our duty of confidentiality.

You agree that we may refer to you and the nature of the services we have performed for you when marketing our services, provided we do not disclose your confidential information.

Intellectual property rights

We own the copyright and all other intellectual property rights in everything that we create in relation to the Services we perform. Unless we agree otherwise, what we create may be used by you only in respect of the Services we perform.


We comply with the 10 National Privacy Principles included in the Privacy Act 1988 in handling personal information.

You agree to comply with the Privacy Act 1988 when providing us with information.


Where our liability is not limited by a scheme, you agree that our liability to all claims connected directly or indirectly with the Services (including claims of negligence) is limited to an amount equal to 10 times the fees payable for the Services.

If a term is implied into this agreement by law, which cannot be excluded, you agree that we may, in our absolute discretion and to the extent permitted by law, choose to either re-supply the Services or to pay to you the cost of having the Services re-supplied.

To the extent permitted by law we exclude all liability for:

  • loss or corruption of data;
  • indirect or consequential loss or damage;
  • loss of profits or goodwill.

This clause has no application to any liability arising directly as a result and to the extent of fraud committed by Bizee Management Solutions.

Electronic communications

 We each agree to take reasonable steps to protect our own electronic information systems including implementing steps to protect against viruses and unauthorised access, use, loss or delay of electronic communications.


Either of us may terminate this membership by giving the other at least 14 days’ notice in writing.

We may terminate this agreement by notice in writing if you do not pay our bills when due or do not provide us with adequate instructions or information to enable us to perform the Services.

Should the membership be terminated by either party prior to its completion we will cease work and invoice you, and you will be liable, for our professional fees and expenses to that point in time including notice period.

Governing law

Unless our engagement letter states otherwise, the governing law applicable to this agreement is the law of Victoria, Australia. Both of us submit to the exclusive jurisdiction of the Courts of Victoria.


This agreement does not apply to the extent it is found to be illegal, unenforceable or otherwise invalid by law, including but not limited to, the Corporations Act 2001 or the rules and regulations of the Australian Securities and Investments Commission.

Dispute resolution

If there is a dispute relating to this agreement or the Services, you agree to meet with us to attempt to resolve it. If the dispute is not resolved through these attempts, we each agree that we will both attempt to resolve the dispute through mediation before commencing legal proceedings.


This agreement may not be assigned without the prior written consent of each party.


 We will provide the Services under this agreement as an independent contractor. You agree that we are not in a partnership, joint venture, fiduciary, employment or other relationship with you. No party has the right, power or authority to oblige or bind the other in any manner.
